vSide Terms of Use

vSide is creating a safe place for music fans to hang out, chat, dance, make friends, party, and generally have fun. Remember, when you are hanging out in the vSide Environment, Profiles or Forums or while using other vSide networks, websites, products and/or services (the Environment), you are in a public social environment, so please treat one another with respect, just like you would treat others in real life.

Here are the basic rules that you agree to follow when you hang out in the Environment.

Who Can Join vSide

The Environment is meant for people over the age of 13. If you are between the ages of 13 and 17, by hanging out or using the Environment, you're telling us that you have your parents' or guardians' permission to do so.

If you live outside of the United States, you may be subject to the laws of the country you live and by hanging out in or using the Environment, you're telling us that you consent to the laws of the United States and California.

Community Rules

A. Your Information. You agree to provide vSide with accurate and complete registration information, and agree to keep that information updated at all times. Failure to do so constitutes a breach of these Terms of Use.

B. Your Behavior. The things you do, what you say and how you act is your responsibility and we want you to act in a way that shows respect and is sensitive to other users. This means that you may only use the Environment for non-commercial purposes in a manner that does not violate any law or regulation. In addition, you are not permitted to access the Environment to:

1. Use or transmit any material protected by copyright, trademark, tradename, trade secret, patent, or other intellectual property right without proper authorization;

2. Stalk, threaten, defame, embarrass or distress any other person or group, including by physical, electronic, virtual or automated means, such as "mail-bombing, or "new-bombing";

3. Distribute computer viruses, worms, or any software intended to damage or alter a computer system without the owner's consent;

4. Use "auto-responders," "cancel-bots," "spam-bots," or other similar mechanisms that generate excessive network traffic;

5. Post, send or relay any unlawful, harmful, defamatory, pornographic, obscene, vulgar or otherwise objectionable material;

6. Post, send or relay any unsolicited advertising, including, without limitation, "affiliate marketing" or "link referral codes";

7. Post, send or relay any chain letters or pyramid schemes;

8. Post, send or relay any fraudulent or misleading offers of products, items, loans, or other services;

9. Post, send or relay any content that includes links to commercial services or web sites, except as expressly allowed by vSide.

10. Post, send or relay any personally identifiable information of any other person or user without the explicit consent of such person;

11. Post, send or relay any misleading or inaccurate information in making and/or servicing a request for legal services;

12. Post, send or relay any junk emails;

13. Post, send or relay any duplicative or unsolicited messages;

14. File any false, fraudulent or misleading abuse reports;

15. Harvest or otherwise collect information about others, including email addresses, without their consent and if, with their consent, solely for lawful and non-commercial purposes;

16. Use automated means, including spiders, robots, crawlers, data mining tools, or other similar tools to obtain information from the Environment or users. The only exception may be for Internet search engines and non-commercial public archives (e.g. archive.org) ;

17. Contact anyone who has told you not to contact them;

18. Create a false identity or forged email address or header or otherwise attempt to mislead others as to the identity of the sender, including a member of vSide staff, the origin of the message or your affiliation with another person or entity;

19. Impersonate another user or take control of another user's character in the Environment;

20. Misuse or abuse any "abuse reporting tools" or process (including DMCA Notice and Takedown) vSide provides, including that you agree that you will not file any false reports;

21. Access the Environment for purposes of conducting research or competitive analysis, such as, but not limited to estimating the size of the Environment or its populations or, conducting demographic research, social experiments, benchmarking, feature performance and/or comparisons without the prior written consent of vSide;

22. Attempt to gain unauthorized access to or otherwise degrade the performance of the Environment, other accounts, computer systems or networks connected to the Environment through login password mining or any other means;

23. Take any action that disrupts the normal flow of dialogue with an excessive number of messages (flooding attack) to the Environment, or that otherwise negatively affects other users' ability to use the Environment;

24. Circumventing any controls or limits implemented in the Environment or accounts, including any automated language filters or other controls; and/or

25. Take users away from the Environment by any means including but not limited to hijacking visitors to your Profile and automatically sending them to any other page.

You further agree not to use the Environment to send any content that is unlawful or that may give rise to criminal and/or civil liability;

C. Dealing with Other Users and Third Parties. If you meet others in the Environment and end up doing business with them, those interactions are between you and them; vSide is in no way responsible for such interactions or the terms or conditions related to such transactions. You agree that vSide shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.

If there is a dispute between users of the Environment, or between users and any third party, you agree that vSide, its partners, providers, subsidiaries, affiliates, officers, directors, employees, contractors, agents and/or successors thereof (collectively vSide Parties) are under no obligation to become involved. If you have a dispute with one or more other users or third parties, you hereby release vSide Parties from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or the Environment.

If you reside in California, you further agree to waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor."

vBux and vPoints

To get certain virtual goods and services within the Environment, you have to use vBux or vPoints. You can purchase vBux with a Credit Card or with PayPal by clicking the "Buy vBux with Credit Now" on this webpage: http://www.vside.com/go/vbux. You can purchase vBux via postal mail by following the instructions here: http://forums.vside.com/forums/ann.jspa?annID=437.

vPoints are awarded to you through various activities in the Environment.

All purchases of vBux are final. You cannot get your money back if you purchase vBux. If you are under the age of 18 and purchasing vBux using your parent's credit card, by purchasing vBux, you are telling us that you have permission to buy vBux. If you are purchasing vBux by PayPal you are telling us that you are the owner of the PayPal account you are using.

vBux and vPoints may be transferred between users only through authorized interfaces within the vSide environment.

Any vBux you buy are not refundable and may not be redeemed for cash or funds in your account. Prices do not include sales or use taxes. Any sales or use taxes will be calculated at the time of purchase. Any sale will be governed by the laws of California and San Francisco County. vSide reserves the right to take back vBux or any goods or services exchanged for vBux if we or our card processor determine that you have not paid for such vBux, goods or services or otherwise reverse the charges. vSide reserves the right to suspend, terminate or take other actions relating to your account for your failure to pay for vBux. vBux that you purchase must be used within one year of purchase. Remember, just because you buy vBux does not exempt you from following the TOU. You can still be suspended or banned from the Environment for failing to abide by the TOU. If you get permanently banned, you will lose all your vBux and virtual goods and/or services in the process.

Use of vBux/vPoints

You may only use vBux/vPoints within the Environment to buy virtual goods or services from vSide or its authorized sellers. By exchanging vBux/vPoints for virtual goods and/or services you agree to abide by the terms that apply to such goods and services. All purchases using vBux/vPoints for virtual goods or services are final and not refundable or exchangeable.

Transfer or trading of accounts, vBux, vPoints or Virtual Goods

vSide does not recognize the transfer of accounts. You may not purchase, sell, gift or trade your account, or offer to purchase, sell, gift or trade your account. If you try to do so, vSide will not recognize your account and may terminate it. To the extent you try to sell, transfer, or gift virtual goods outside of the Environment, vSide will not recognize such transfers. You cannot sell vBux, vPoints, or any virtual goods or services from the Environment in the real world.

Begging For vBux/vPoints

Asking, begging, or panhandling for vBux/vPoints is not permitted in vSide. Also, soliciting someone's vSide credentials for any reason, including by offering to purchase vBux/vPoints is strictly prohibited and could result in termination of your account.

Spam Policy

You may not engage in advertising to, or solicitation of, other users to buy or sell any third party products or services through the Environment, without vSide's prior written consent.

Sending unsolicited email advertisements to the computer systems of the Environment is not only a violation of the Terms of Use, but also of certain federal and state laws, including the Computer Fraud and Abuse Act (18 U.S.C. 1030 et seq.), Section 502 of the California Penal Code and Section 17538.45 of the California Business and Professions Code. Such violations may subject the sender and his or her agents to civil and criminal penalties.

E. Filing Abuse Reports. If you see others in the Environment violating the Terms of Use, you may file an Abuse Report. To file an Abuse Report, right-click on the offending user's avatar and choose "Report Abuse"

Personal Spaces

vSide may allow you to create your own Personal Space within vSide which you may decorate with virtual furniture and use to entertain your friends. While you can create your own Personal Space in the form of a virtual apartment, please understand that if you create and hang out in a Personal Space that you still have to follow the rules in the Terms of Use. This means that if you break the rules of vSide, even in your Personal Space, vSide can still take any and all actions against you, including suspending or terminating your account. While it is our general policy that vSide does not routinely monitor Personal Spaces, we reserve the right to at any time as well as to change this policy.

Public Spaces vs. Personal Spaces

The vSide Environment contains both Public Areas (clubs, plazas, courtyards, etc.) and Personal Areas (users' virtual apartments.) vSide MODs routinely watch over Public Spaces but do not routinely monitor Personal Spaces. If you don't like what's happening in a user's virtual apartment you should return to a Public Area of the Environment.

Expectations and Monitoring

A. Content. To allow for the free flow exchange of ideas, data, conversations, documents, text, audio, video, audio-video works, materials or information (collectively content) are not routinely reviewed before being posted on or within the Environment. As a result, vSide has no control over any content posted on or within the Environment and makes no representations or claims regarding the quality, reliability or accuracy of such content. vSide takes no responsibility or liability for any content posted on or within the Environment.

While in the Environment, you understand that you may come across or be exposed to content that is prohibited or that you may find offensive. If you become exposed to any prohibited or offensive content, you waive your right to any damages from vSide Parties related to such exposure and acknowledge that vSide Parties will have no liability related to content, whether or not arising under the laws of intellectual property, defamation, privacy, obscenity, indecency or otherwise.

B. vSide Employee Etiquette (Asking for Passwords or Personal Information). In the Environment, vSide employees or agents will NEVER ask you for personal information, including passwords for your vSide accounts. vSide employees or agents will direct you to official reporting mechanisms. For example, if you are having technical problems with the Environment, beyond the basic "How do I get to X location?" or "How do I jump?" we will direct you to official support channels. Support is currently handled via the Community Support Forums: http://forums.vside.com/forums/category.jspa?categoryID=5

If someone purporting to be a representative of vSide asks you for personal information or your passwords, whether that be in e-mail or in the Environment, you should immediately report such behavior to vSide through filing an "abuse report" by right-click > Report Abuse (if in the Environment) or emailing vside-abuse (at) vside {dot} com (if outside of the Environment.)

C. Limits. You acknowledge and agree that vSide may establish limits concerning use of the Environment, including, but not limited to, the maximum number of days that content will be retained by vSide, the maximum number and size of postings, email messages, or other content that may be transmitted or stored by vSide, and where, how and how often you may access vSide. You agree that vSide has no responsibility or liability for the deletion or failure to store any content maintained or transmitted by vSide. You acknowledge that vSide reserves the right at any time to modify or discontinue the Environment (or any part thereof) with or without notice, and that vSide Parties shall not be liable to you or to any third party for any modification, suspension or discontinuance of its any of its products and services.

Investigations, Suspension and/or Revocation of Privileges and Removal of Content

In order to ensure that vSide is able to provide an Environment that is responsive to customer needs, vSide employees may need to access your account and records on a case by case basis to investigate complaints or other allegations or abuse. vSide shall not disclose the existence or occurrence of such an investigation unless required by law.

You understand that your participation in the Environment is a privilege, not a right. You understand that vSide, may immediately and without notice, in its sole discretion, suspend, delete or deactivate your account (temporarily or permanently), block your e-mail address or IP address or terminate access to all or part of the Environment. vSide may further remove any content from the Environment for any reason.

vSide may take any action as vSide in its sole discretion deems necessary if vSide believes it may create liability for vSide Parties including, but not limited to, removing any content and/or terminating a user's account if a user's conduct fails to conform with these Terms of Use.

Users who violate the Terms of Use may additionally incur criminal and/or civil liability. vSide may refer violators to civil or criminal authorities for prosecution, and will cooperate fully with applicable government authorities in connection with its investigations of any suspected civil or criminal violations. vSide also reserves the right to terminate your account if we learn or have reason to believe that you have provided us with false or misleading registration information, interfered with other users or the Environment, or violated these Terms of Use.

You agree that vSide shall not be liable to you or any third-party for any termination of your access to the Environment. vSide will not reimburse or compensate you if it takes any actions.

If you wish to terminate your (or your child's) account, you must provide written notice to vSide by sending email with the username and email address to: terminate (at) vside {dot} com.

IMPORTANT: You must send the email from the email address on file for the vSide account you wish to terminate.

General vSide User Support is provided by the collective vSide User Community in the form of the vSide Forums. Forums can be accessed here: http://forums.vside.com.

For specific problems with vBux and virtual goods only, login to http://www.vside.com/go/issue and file a Support Ticket.

In the vSide Environment, if you feel that someone has violated the Terms of Use, you should report abuse against him/her by right-clicking on his/her avatar and selecting "Report Abuse." The Terms of Use can be found here: http://www.vside.com/app/help/tou.

Intellectual Property

A. License to vSide Software and Content. Some of the products and services provided within the Environment require you to download and install certain software (Software). In addition, by accessing the Environment, you will be able to access content contained in the Environment.

Except as otherwise provided in this section, you may use the content and the Software solely within the Environment. You may not use the Software and/or any content outside of the Environment. You may not reproduce, distribute, perform or display the Software or any content within the Environment for commercial purposes. You may use screenshots from the Environment to post on your own personal web pages for non-commercial purposes, but only so long as those screenshots otherwise comply with these Terms of Use.

You may not access, use or otherwise exploit the Environment for commercial purposes.

You may not reverse engineer or otherwise determine the source code, functionality and/or APIs or interfaces of any software, servers, hardware, networks associated with the Environment.

B. Content You Create or Submit. In using the Environment, you will create a personal character, and you may obtain virtual goods or services for free or by spending vBux or vPoints. In addition, we may also permit you to design and create your own virtual items and import them into the Environment for your character's use. You may also be able to submit other content to the Environment. By accessing and/or using the Environment, you understand and agree that:

1. vSide owns, and will continue to own, your character and any virtual goods and services you acquire in the Environment;

2. vSide will own forever any user-created items or other content you submit to vSide or the Environment;

3. As owner, vSide will have the unlimited right to use your character, information, virtual goods and services you may acquire, and any items or other content you may submit in whatever way vSide chooses, including in the Environment, in our advertising, or any form of media, existing now or in the future (including static or interactive websites, television or Internet based programming, radio, audio, video or audio/video works, video, board or card games or merchandising) for as long as vSide wants without payment to you, and vSide may permit others to use these rights;

4. You are only receiving the limited right to use your character, any virtual goods and services and any items or content you submit to vSide or the Environment under these Terms of Use, and vSide may suspend or terminate your access to your account, character, and any virtual goods, items or services at any time in its sole discretion;

5. We have no obligation whatsoever to accept or adapt into the Environment any items or other content you wish to submit, but we may do so in our sole discretion;

6. We have no obligation to pay you in any manner for any items or other content you submit to us or the Environment;

7. You represent and warrant that you own, or have the right to use and provide, any items or other content you submit, and you will not submit any content without authorization or in violation of anyone else's copyright, trademark, patent, privacy right, publicity right or any other proprietary right; and

8. You are entirely responsible for all content that you submit to the Environment. Under no circumstances will vSide be responsible in any way to you or anyone else in connection with any user-submitted content, whether or not modified or adapted by vSide.

C. Feedback. If you provide vSide feedback regarding any aspect of the Environment, including, but not limited to, features,ways to improve performance or interactions, or even observations, you assign vSide all your rights with regard to such feedback and vSide may use such feedback for as long as vSide wants without compensation to you.

DISCLAIMER OF WARRANTIES

YOU UNDERSTAND AND EXPRESSLY AGREE THAT USE OF THE ENVIRONMENT IS AT YOUR SOLE RISK, THAT ANY CONTENT SUBMITTED, SUPPLIED OR OTHERWISE OBTAINED THROUGH THE USE OF THE ENVIRONMENT IS AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS THAT MAY RESULT.

THE ENVIRONMENT IS PROVIDED BY VSIDE PARTIES ON AN "AS IS" BASIS. VSIDE PARTIES MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE USE AND OPERATION OF THE ENVIRONMENT, THE ACCURACY AND/OR RELIABILITY OF CONTENT IN THE ENVIRONMENT, ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE ENVIRONMENT, ANY INTERACTIONS IN THE ENVIRONMENT OR ANY TRANSACTIONS ENTERED INTO THROUGH THE EVIRONMENTS. VSIDE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. VSIDE PARTIES DO NOT WARRANT THAT USE OF THE ENVIRONMENT WILL BE UNINTERRUPTED, AVAILABLE AT ANY TIME OR FROM ANY LOCATION, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE ENVIRONMENT IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

LIMITATION OF LIABILITY

IN NO EVENT WILL VSIDE PARTIES BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED, TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL AND PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION THOSE RESULTING FROM LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE, INABILITY TO USE, OR THE RESULTS OF USE OF THE ENVIRONMENT OR ANY WEB SITES LINKED TO THE ENVIRONMENT, THE MATERIALS OR INFORMATION CONTAINED AT ANY OR ALL SUCH SITES, OR THE CONTENT ANYWHERE ON THE INTERNET, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF SUCH DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

VSIDE'S LIABILITY

INDEMNITY

You agree to indemnify, defend and hold harmless vSide Parties from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorneys' fees) due to or arising from your use of the Environment, any content you post, email you transmit, or relay to vSide, your violation of the Terms of Use or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity.

Referral Programs

We may from time to time offer you the opportunity to earn rewards by referring friends to try the Environment ("Referral Program"). Participation in a Referral Program may require you to submit personal information about you and your friends, such as name and email address. By participating in a Referral Program, you agree to receive communications from vSide, and/or from our trusted partners that operate and maintain the Referral Program, with regards to your participation in the Referral Program. The following guidelines shall apply to your participation in any Referral Program:

1. Rewards are limited to one per user.

2. You may not submit multiple email addresses in an attempt to earn a reward or an additional reward.

3. You may not participate in a Referral Program where doing so would be prohibited by any applicable law or regulations.

4. Your eligibility to earn a reward will be based on your ability to make referrals that result in new Environment users. Referrals to existing Environment users will not count towards your eligibility to earn a reward.

5. Credit for referrals can only be given out for those referrals who participate using their unique referral link.

6. You may not use Spam to obtain referrals. You may not acquire referrals through unsolicited email to persons unknown to you or through usenet or message board postings, where the postings are unrelated to the topic of discussion or otherwise violate the terms of the site.

7. vSide does not guarantee delivery time on any rewards earned, nor does it guarantee receipt of any rewards.

We reserve the right to modify or amend at any time these guidelines and the methods through which rewards are earned. We reserve the right to disqualify you at any time from participation in a Referral Program if you do not comply with any of these guidelines or otherwise violate these Terms of Use. All information collected from you in a Referral Program shall be subject to the vSide privacy policy which can be found at http://www.vside.com/go/privacy.

Other Legal Terms

The Terms of Use will be governed by and construed in accordance with the laws of the State of California as it is applied to contracts entered into by residents of the state of California. You hereby consent to the exclusive jurisdiction of a State or Federal court empowered to enforce this Agreement in the State of California, County of San Francisco, and agree to waive any objection thereto on the basis of personal jurisdiction or venue. If any provision(s) of the Terms of Use is found to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. vSide's failure to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision unless acknowledged and agreed to by vSide in writing. The section titles of the Terms of Use are solely used for the convenience of the parties and have no legal or contractual significance.

The Terms of Use constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of the Terms of Use will be effective only if in writing and signed by vSide. You may not assign this agreement to any other party (by operation of law or otherwise) without the prior written consent of vSide.

This Terms of Use shall bind and inure to the benefit of the successors and permitted assigns of the parties. In the event of a breach of this Terms of Use, the breaching party shall pay to the other party any reasonable attorneys' fees and other costs and expenses incurred by the non-breaching party in connection with the enforcement of any provisions of this Terms of Use.

Modifications to these Terms of Use

vSide may modify these terms of use from time to time. vSide will notify you of changes of these Terms of Use by alerting you on the vSide website, forums, vSide login screen or through e-mail. Your continued use of the Environment afterwards reflects your consent to such modified terms.

If you do not accept this agreement, you are not entitled to use the Environment and will not be granted any further access to it if you do not accept the Terms of Use.

Digital Millennium Copyright Act (DMCA)
Content accessible through vSide may be subject to the terms of the DMCA. vSide, as a "service provider" operates in accordance with the "safe harbor" provisions of the DMCA (see sections [512(C)(1)-(C)(3)]). vSide employees do not personally review any user submitted or created content to the Environment. vSide will respond expeditiously to legal notices as described in the DMCA.

What should I do if I feel my copyright has been infringed?

If you believe that a user's content has violated your copyright (except in the case of streaming video*) you should act in accordance with the DMCA 512(c)(3)(a)(i - vi) and provide vSide with a "takedown notice" in writing to the address below:

The "takedown notice" should include the following information:

  1. A representative list of content (if more than one).
  2. Identification of the copyrighted material used in the content from (1) above.
  3. Information reasonably sufficient to permit the service provider to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted.
  4. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  5. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
  6. Be very specific in your description of the copyright violation, this will make it easier for vSide to comply with a legitimate request.

Once the complaint has been verified, vSide will remove such content. vSide, to extent possible, will alert the user submitting such content and provide them with an opportunity to send a written notice to vSide to contest the removal.

*In the case of streaming video copyright violation in a user's Personal Space, please contact YouTube to get the video removed.

Response to Subpoenas

If a user is found to be in violation of copyright law, the "safe harbor provisions" permit a copyright owner to subpoena the identity of the individual allegedly responsible for the infringing activities [512(h)].
